Kształtowanie się pojęcia przedsiębiorcy i przedsiębiorstwa w prawie cywilnym oraz prawie gospodarczym w Polsce

Abstract

Odpowiednie rozumienie, a później także stosowanie prawa wymaga właściwego ustalenia nie tylko przez ustawodawcę, lecz także później w drodze wykładni prowadzonej między innymi przez judykaturę, pojęć wchodzących w zakres danego aktu prawnego. Zgodnie z ugruntowanym poglądem w orzecznictwie punktem wyjścia do interpretacji przepisów niewątpliwie powinien być tekst ustawy oraz rozumienie użytych przez ustawodawcę słów. Pomocne w tym zakresie są przede wszystkim definicje legalne. W obrocie gospodarczym jednymi z pojęć, które przeszły znaczną ewolucję są „przedsiębiorca” i „przedsiębiorstwo”. To jednocześnie terminy, które odgrywają niebagatelną rolę w porządku prawnym i gospodarce. Co istotne, do dziś termin „przedsiębiorca” jest niejednolity i wciąż dostrzegalny jest brak spójności w jego rozumieniu na gruncie różnych gałęzi prawa. Podobna sytuacja ma miejsce w przypadku terminu „przedsiębiorstwo”, które jest obecne w różnych aktach prawnych, często w odmiennym ujęciu. Oba te terminy w polskim porządku prawnym pojawiają się także w szeregu rozmaitych aktów prawnych. Biorąc pod uwagę, że ustawodawca wielokrotnie decyduje się na wprowadzenie własnej definicji tych terminów na potrzeby konkretnego aktu, pojawia się pytanie, na ile zachowuje się w tym wypadku postulat racjonalnego ustawodawcy czy chociażby zasada pewności prawa.

The proper understanding and later application of the law requires the proper determination not only by the legislator, but also later through the conducted interpretation, among others, by the judiciary, of the concepts falling within the scope of a given legal act. According to the established view in case law, the starting point for the interpretation of the provisions should undoubtedly be the text of the act and the understanding of the words used by the legislator. Legal definitions are primarily helpful in this respect. In business transactions, some of the concepts that have undergone significant evolution are “entrepreneur” and “enterprise”. At the same time, these are terms that play a significant role in the legal order and the economy. Importantly, to this day, the entrepreneur is a concept that is not uniform and there is still a noticeable lack of consistency in its understanding by various branches of law. A similar situation occurs in the case of the concept of “enterprise”, which appears in various legal acts and often in different interpretations. Both concepts have undergone significant evolution, what is more, the terminology in their scope has also changed, as well as the approach to it. Both of these terms also appear in a number of different legal acts in the Polish legal system. Considering that the legislator often decides to introduce his own definition of these concepts for the needs of a specific act, the question arises to what extent the postulate of a rational legislator, or at least the principle of legal certainty, is maintained.
