Abstrakt: The system of remuneration can be a cause of serious conflicts between managers and stockholders, this including minority stockholders who have a lesser influence on the appointment of a company’s governing bodies. Analysis of the provisions of the Act of 15 September 2000, the Commercial Companies Code governing the remuneration of members of the management board and supervisory board, showed that within its scope legal controls are fragmentary, giving the company broad autonomy. Yet this autonomy is not of absolute nature and the company is obliged to comply with the principles of law, this including the principle of equity. In this article, the author analyses in detail one of the basic instruments for introducing the principle of equity which is the clause of good practice. The Commercial Companies Code does not specify how the term “good practice” should be understood. Therefore the author discusses opinions presented in jurisdiction as well as the stance of the doctrine; she also proposes her concept in this respect. In this article, a detailed analysis of the good practice applied in the case of jointstock companies is made, predominantly those regulated in the Good Practice of Companies Listed on WSE. The analysis also concerned its conformity with the European Union law in scope of remuneration policy.</summary>

    <summary type="text">Tytu&amp;#322;: Wykładnia słusznościowa testamentu

Abstrakt: The article analyzes various interpretations of legal provisions relating to disposition of a testator’s property, a process that can prove to be highly problematic, in particular in cases with complicated legal status. The problem discussed is a very important one from the point of view of legal doctrine, jurisdiction and social equity. The article focuses on jurisdictions that exercise an equitable doctrine, known as dependent relative revocation. This concept involves numerous legal institutions and mechanisms that refl ect or, in principle, should refl ect the testator’s intention to make a valid will, in particular modifications to the existing will (codicil), the principle of favor testamenti and legal interpretations that take into account the circumstances under which the will was made. The article presents various arguments put forward by legal experts and cites selected decisions of the Supreme Court. References to foreign jurisdiction are also made to identify the best solutions relating to the interpretation of the last will and testament.</summary>

Abstrakt: The subject of this publication is an analysis of the regulation contained in Article 7643 of the Civil Code in the context of the principle of equity. This regulation pertains to the indemnity, which is to be given to the agent after termination of an agency contract. Article 7643 of the Civil Code uses indeterminate terms and a general clause relating to the considerations of equity. This article shows how the principle of equity is realized in this clause and what the are terms. It also answers the question as to how they should be understood and interpreted on the basis of Polish civil law, if we take into account the principle of equity.</summary>
